01Agreement and eligibility

These Terms & Conditions describe the conditions for using RIVVO at rivvonow.com, www.rivvonow.com, and the account services that link to these Terms. “RIVVO,” “we,” “us,” and “our” mean Rivvo LLC, a New Jersey limited liability company. “You” means the person using the service and any business that person is authorized to represent.

You must be at least 18 and use RIVVO for your trade or business. If you act for a business, you must have authority to agree on its behalf and provide its information. Our current launch focuses on New Jersey. Available features, service areas, and account eligibility are described in the relevant workflow.

You agree to these Terms when you affirmatively accept them through a process that identifies these Terms or otherwise enter a valid agreement incorporating them. Publication of this page does not itself establish that an existing member accepted this version. These Terms do not retroactively change a previously agreed transaction.

02What RIVVO provides

RIVVO connects contractors with independent material suppliers and supports registration for supply houses and dumpster, tool, and equipment rental businesses. Available material-request tools let contractors organize a list, choose participating suppliers, submit a request, and review supplier responses. Businesses can manage their profiles, material categories, locations, and available response tools.

Saving a draft does not send it. A request is shared when you submit it to the recipients shown in the request workflow. A request or an availability response does not by itself place an order, reserve inventory, collect payment for materials, or create a purchase or rental contract. Confirm the transaction directly with the business you choose.

Rental request tools and some other features remain in development. A listing or plan description does not activate an unavailable feature. Illustrations labeled as examples are not actual supplier offers. AI plan analysis, automated purchasing, and a delivery-driver marketplace are not currently offered. A delivery preference refers to an arrangement with a supplier that offers delivery; RIVVO does not dispatch a driver or undertake transportation.

03RIVVO and independent businesses

RIVVO provides the platform. It does not become the seller, equipment owner, rental operator, contractor, carrier, or a party to another business’s contract merely by displaying a listing or transmitting a request or response. Suppliers and rental businesses operate independently; their participation does not make them RIVVO employees or agents.

We will use reasonable care in operating the available platform functions and handling information. We will transmit submitted request information to the selected recipients without intentionally changing material specifications, quantities, or recipients without your authorization. Report suspected transmission errors promptly to support@rivvonow.com so we can investigate. These commitments do not promise uninterrupted or error-free service.

Members remain responsible for reviewing information before relying on it. Supplier responses describe the supplier’s own offer or availability. RIVVO does not independently guarantee stock, pricing, quality, licensing, insurance, safety, or fulfillment unless a specific verification or commitment is expressly stated. An enabled account or location is not a certification or endorsement.

Any sale, rental, pickup, supplier-arranged delivery, warranty, return, or other transaction agreed directly with another business is between the parties to that transaction. RIVVO remains responsible for its own conduct and express commitments under applicable law.

04Contractor responsibilities

Contractor accounts are free. Check your descriptions, dimensions, measurements, quantities, material categories, job location, timing, and fulfillment preferences before submitting a request. Obtain permission before providing customer or job-site information. Do not include passwords, access codes, payment-card details, or unnecessary personal information in material lists.

Before committing to a purchase or rental, confirm the exact items, substitutions, availability, readiness, total price, taxes, fees, deposits, rental period, and pickup or delivery arrangements directly with the chosen business. A partial response means the supplier has not confirmed the entire list.

Material lists, directory results, and supplier responses are not architectural, engineering, safety, or building-code advice from RIVVO. You are responsible for obtaining qualified advice, permits, and approvals required for your project.

05Supplier and rental business responsibilities

Supply houses, material suppliers, dumpster-rental companies, tool-rental companies, and equipment-rental companies must accurately describe their businesses, services, material categories, and participating locations. Keep quantities, condition, pricing, availability, readiness, and service-coverage statements accurate. Maintain the licenses, registrations, permits, and insurance required for your activities.

Confirm that you can fulfill a request only after checking the requested items, quantities, timing, and terms. Distinguish acknowledging an inquiry from confirming availability. Clearly disclose shortages, exclusions, lead times, additional charges, and any proposed substitution. Obtain the contractor’s agreement before substituting materials or changing agreed terms. Correct a response promptly if circumstances change.

Rental businesses must disclose the rental period, deposits, taxes, fees, operating restrictions, pickup and return requirements, damage responsibilities, and cancellation terms before the customer commits. Provide suitable equipment and required safety information. Dumpster businesses must disclose accepted and prohibited contents and applicable placement or permit requirements.

You are responsible for your employees, premises, vehicles, equipment, products, fulfillment, customer contracts, and representations. Use member contact information for the inquiry or relationship for which it was shared, another separately authorized purpose, or as permitted by law. Receiving a request does not authorize selling member details or enrolling the sender in promotional campaigns.

No manual supplier approval is required for ordinary registration. Access may still depend on completed setup, available features, trial or subscription entitlement, and compliance with these Terms. RIVVO does not guarantee a number of requests, leads, completed sales, rental revenue, or a financial return.

06Free trials, plans, and billing

New supplier and rental business registrations may choose the card-required offer shown during signup: three calendar months free, then $50 per month for one business type or $150 per month total for two or more business types. All participating locations of the same business are included. Material supply, dumpster rental, tool rental, equipment rental, and portable toilet rental are separate business types; multiple material categories count as one material-supplier type. The trial end and first payment date appear in Stripe checkout before confirmation.

The card-required trial starts after Stripe confirms checkout. By affirmatively accepting the renewal terms and completing checkout, you authorize the displayed amount to be charged after the trial and monthly thereafter until canceled. Cancel in Billing before the displayed trial end to avoid the first charge. Creating an account or selecting a plan alone does not authorize payment. Further details appear in the subscription terms linked from checkout.

Businesses registered under the earlier no-card offer keep their existing trial terms and original $50 monthly option, including their participating locations and selected services. No card is required for that earlier trial, and it does not automatically convert to a paid subscription. Reserving that trial does not start its clock; it starts from the account when the relevant business tools and location setup are ready. This new offer does not enroll, charge, or reprice an existing business without its express agreement.

Trial eligibility and included services appear in the signup and account screens. Editing registration does not restart or extend a trial. We may restrict trial access for fraud, repeated trial registrations intended to evade limits, or other material misuse. Before payment authorization, checkout presents the price, billing interval, applicable taxes or fees, start date, renewal terms, cancellation method, and refund terms. We will provide notice of price changes and obtain further consent where required. Any specifically accepted subscription agreement governs its stated commercial details, subject to applicable law.

07Cancellation and refunds

RIVVO subscription fees are nonrefundable for a change of mind, nonuse, or cancellation during a paid billing period, except where applicable law requires otherwise. We do not provide voluntary prorated refunds for unused portions of a monthly or annual billing period.

You may cancel future renewal using the cancellation method disclosed at checkout. You may also contact support@rivvonow.com for help. Cancellation stops future renewals and ordinarily leaves access available through the already-paid period, unless lawfully restricted under these Terms. It does not authorize further charges or waive a remedy required by law.

We will correct duplicate, unauthorized, or other erroneous charges and provide any refund or other remedy required by applicable law. Nothing here limits a lawful right to dispute a charge. This policy concerns fees paid to RIVVO, not payments made directly to independent suppliers or rental businesses, whose transaction terms and applicable law govern those payments.

08Accounts, acceptable use, and closure

Provide accurate account information, keep credentials secure, and promptly report suspected unauthorized access. Clerk provides account authentication and verification. You remain responsible for activity you authorize through your account; this does not make you responsible for a breach caused by RIVVO’s own wrongful conduct.

Do not impersonate another person or business, access private records without authority, bypass account or package limits, interfere with the service, introduce malicious software, or scrape member information without permission. Do not use RIVVO for fraud, harassment, spam, unlawful products or services, or infringement. Security research must not access another member’s data or disrupt the service; contact us to report a suspected vulnerability.

We may investigate and restrict access or listings when reasonably necessary to address misuse, a security threat, legal requirements, or a material breach. Where reasonably practicable, we will explain the restriction and how to seek review. Immediate action may be needed when notice would increase risk. Restrictions do not remove remedies that applicable law requires.

You may request account closure at support@rivvonow.com. Closing account access does not automatically erase every saved request, response, or business record. You may separately request deletion; we will handle it under applicable law, including lawful recordkeeping exceptions. Do not treat account closure as confirmation that a separately authorized subscription has been canceled; request cancellation through the disclosed method as well.

09Your content, company logos, and information

You retain ownership of the content you provide and must have the rights and authority to submit it, including any company logo. You grant RIVVO a nonexclusive license to store, process, reproduce, and display that content as reasonably needed to provide the requested service and maintain lawful records. This includes displaying your business name and logo on your listing and alongside responses you send to contractors.

Submitting a request authorizes us to share its contents with the suppliers you select. Sending a response authorizes us to show it and the relevant business details to the requesting contractor. Saving a private draft alone does not authorize distribution to suppliers. This license does not authorize selling private drafts or using them in unrelated advertising.

Authorized RIVVO personnel and service providers may access account information and activity for appropriate operations, support, security, and legal purposes. Account closure and browser-data deletion are separate from deletion of server records or another business’s lawful copies. These Terms do not provide blanket consent to unrelated processing or restrict applicable privacy rights. Contact support@rivvonow.com with information-handling questions or requests.

RIVVO’s software, brand, and original content remain the property of their owners. You may use the platform as offered but may not misrepresent ownership or misuse another party’s trademarks or copyrighted material. Report suspected infringement or unlawful content with enough information for us to locate and review it.

10Service availability and warranties

Subject to RIVVO’s express commitments and applicable law, the service is provided as available. To the extent permitted by law, RIVVO disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted access or the accuracy of every third-party statement. Check your request and response history in the account; email or other alerts are not a substitute for confirming a time-sensitive transaction directly.

We may maintain, update, or discontinue features, with reasonable notice where practicable and any notice or remedy required by law or an accepted paid agreement. Keep independent copies of business-critical information. Nothing here removes a warranty, duty, or remedy that cannot lawfully be excluded.

11Limits on liability

To the extent permitted by law, neither party is liable to the other for indirect or consequential business losses, including lost profits, arising from these Terms. RIVVO’s aggregate liability arising from the service is limited to the greater of $1,000 or the RIVVO fees you paid during the 12 months immediately before the event giving rise to the claim. This limit applies across related claims, not separately to each legal theory.

Neither the exclusion nor the monetary limit applies to RIVVO’s fraud, willful misconduct, gross negligence, liabilities for bodily injury or death that cannot lawfully be limited, or statutory rights and remedies that applicable law does not permit us to restrict. These provisions do not excuse RIVVO from complying with applicable privacy and security law. They do not limit legally required refunds, correction of billing errors, or other remedies that cannot lawfully be waived.

12Supplier responsibility for third-party claims

A supplier or rental business agrees to defend and reimburse RIVVO for reasonable third-party claims, damages, and legal costs to the extent caused by that business’s fraud, negligence, unlawful products or services, infringement, or material breach of Section 5. This obligation excludes the portion caused by RIVVO’s own breach, negligence, or other wrongful conduct. It does not apply merely because a member makes a good-faith complaint or exercises a legal right.

RIVVO must provide prompt notice and reasonable cooperation, at the responsible business’s expense. A delay in notice reduces the obligation only to the extent it causes material prejudice. The responsible business may control the defense with reasonably suitable counsel. It may not agree to a settlement admitting fault by RIVVO, imposing nonmonetary duties on RIVVO, or requiring RIVVO to pay without RIVVO’s written consent, which will not be unreasonably withheld.

13Disputes, updates, and other provisions

Contact support@rivvonow.com to report a concern or seek an informal resolution. Doing so does not prevent you from contacting a regulator, using small-claims court, seeking urgent relief, or pursuing a remedy within an applicable deadline.

New Jersey law governs these Terms to the extent permitted, without eliminating mandatory protections that apply elsewhere. Proceedings may be brought in state or federal courts in New Jersey that have jurisdiction, subject to applicable small-claims rights, mandatory venue requirements, and other nonwaivable rights. These Terms do not require arbitration or waive a right to a jury trial or class proceeding. Any future arbitration agreement would require a separate, valid agreement.

Material changes will be identified by version date and communicated through account email or a prominent service notice. We will obtain renewed agreement where required. Unless the affected parties expressly agree otherwise after a dispute arises, updates will not change rights or obligations arising from earlier events. A previously agreed charge may be changed only as authorized by the applicable paid agreement and law.

An unenforceable provision does not invalidate the remaining lawful provisions. Failure to enforce a term once is not a continuing waiver. These Terms and any specifically accepted additional agreement govern the service they cover. No provision removes a right or remedy that applicable law does not allow the parties to waive.
